1. Introduction

These Terms & Conditions govern your use of the Norivane Connect deal check service (“the Service”).

Norivane Connect is a trading division of Norivane Limited whose company number is 09122998 and is registered in England.

By accessing or using the Service, you agree to these Terms. If you do not agree, you should not proceed.

2. Nature of the Service

The Service provides a structured, preliminary assessment of a business in the context of potential funding, investment, or transaction readiness.

The output is intended to:

• highlight areas likely to be challenged by lenders, investors or buyers
• provide a directional view on whether a business is ready to progress

The Service is:

• not a formal valuation
• not investment advice
• not funding advice
• not a recommendation to proceed or not proceed with any transaction

All outputs are indicative and based on the information provided by the user.

3. Accuracy of Information

You confirm that all information you provide is accurate, complete and not misleading.

Norivane does not verify the information submitted. Any output generated is dependent on the quality and accuracy of the information provided.

4. Referral and Sharing of Output

Where you have been referred to the Service by a broker, advisor, or intermediary (“Referring Party”):

• the results of the deal check will be shared with the Referring Party
• this forms part of the process of assessing whether the opportunity should be progressed

By proceeding, you expressly consent to:

• the sharing of your submitted information (as required to produce the output)
• the sharing of the resulting output with the Referring Party

The identity of the Referring Party will be presented to you prior to payment.

5. Payment

A fee is payable to access and complete the Service.

• the fee is charged at the point of entry into the deal check process
• once the process has been started, the fee is non-refundable

The fee is for access to the structured process and output, not for any specific outcome.

6. Use of Output

The output is provided for general informational purposes only.

You acknowledge that:

• it does not constitute professional advice
• it should not be relied upon as the sole basis for any commercial, financial or investment decision

You are responsible for seeking independent professional advice where appropriate.

7. Limitation of Liability

To the maximum extent permitted by law:

• Norivane shall not be liable for any direct, indirect or consequential loss arising from use of the Service
• Norivane does not accept responsibility for decisions made based on the output

Nothing in these Terms limits liability where it would be unlawful to do so.

8. Data and Privacy

Information provided through the Service will be:

• used to generate the deal check output
• stored securely
• handled in accordance with the Privacy Policy

Your data will not be sold to third parties.

Data may be shared with the Referring Party as set out in Section 4.

9. Intellectual Property

All content, structure, and methodology used within the Service remain the intellectual property of Norivane.

You may not:

• reproduce
• distribute
• or commercialise the Service or its outputs without permission

10. Changes to the Service

Norivane may:

• update or modify the Service
• change pricing
• amend these Terms

Updated Terms will apply from the point of acceptance.

11. Governing Law

These Terms are governed by the laws of England and Wales.
